Service Agreement

Prior to beginning work, PAGES Editorial Services will present Client with a Service Agreement outlining the details of the services to be provided. The Service Agreement will consist of the following:

The Service Agreement will be emailed to Client, at which time Client can either Accept or Reject the Service Agreement.

Pricing and Invoicing

Prices and invoices may be based on information that you provide to us, including the word count of the documents you are submitting for service. You represent and warrant that such information is accurate, and you agree to pay to PAGES Editorial Services any additional charges arising from any inaccuracy in such information within seven days of notification thereof. PAGES Editorial Services is not obligated to verify the accuracy of such information but will refund to you any overpayment arising from inaccuracy within five business days of the discovery.

PAGES Editorial Services is not obligated to refund the purchase price of any service under any circumstance unless explicitly agreed to by PAGES Editorial Services. However, the Client shall have five (5) business days upon delivery of each deliverable by PAGES Editorial Services, or such other Acceptance Period as may be otherwise specified, to review such deliverable and determine, in good faith, whether such deliverable substantially conforms to its specifications. If applicable, any refund will be granted within these five business days.

In addition, PAGES Editorial Services shall invoice Client for reasonable out-of-pocket expenses incurred in the course of our performance of its obligations (as evidenced by appropriate receipts or other documentary evidence), including but not limited to, travel and lodging, long distance calls, and third party software, hardware, and equipment, at cost.

PAGES Editorial Services reserves the right to limit quantities, to request payment prior to delivery of service, to refuse service, or to cancel orders at its sole discretion.

PAGES Editorial Services may, at its sole discretion, offer monthly invoicing arrangements to regular business and personal customers and agree to additional or modified terms for such arrangements. Unless otherwise agreed to in writing, payment is due when an invoice is rendered. NSF checks and payments more than 90 days past due may be subject to administrative charges of up to $50 (USD) and interest at a rate of 1.5% per month (19.56% APR).

Price, terms, and availability are subject to change without notice. All prices are quoted in U.S. dollars (USD).

Deliverables and Acceptance

Client shall have five (5) business days upon delivery of each deliverable by PAGES Editorial Services, or such other Acceptance Period as may be otherwise specified, to review such deliverable and determine, in good faith, whether such deliverable substantially conforms to its specifications.

During the applicable Acceptance Period, the Client shall: (a) provide PAGES Editorial Services with written notice of its Acceptance of such deliverable; or (b) provide PAGES Editorial Services with:

1. written notice of its rejection of such deliverable, in good faith, for the failure of such deliverable to substantially conform to its specifications.
2. All information and assistance reasonably necessary for PAGES Editorial Services to correct such non-conformity, provided that Client's failure to provide any such written notice to PAGES Editorial Services within the applicable Acceptance Period automatically shall be deemed Acceptance of such deliverable. Upon receipt of written notice of Client's good faith rejection of any deliverable as specified, PAGES Editorial Services shall then correct the non-conformity (with charges based on time and materials unless otherwise agreed upon) and resubmit such deliverable, in which case the Acceptance procedure set forth above shall be repeated until such deliverable is accepted.
3. PAGES Editorial Services may, in its discretion, discontinue services until the Client provides affirmative Acceptance or Rejection of the deliverables provided by PAGES Editorial Services. The Client's failure to provide either Acceptance or Rejection of a deliverable shall result in an automatic extension of any schedule provided by PAGES Editorial Services for completion of the services. Notwithstanding the foregoing, the Client shall have no right to accept or reject any deliverable provided by PAGES Editorial Services for proofreading services, as such services are provided on as “as is” and “as available” basis.

Other

This site and this agreement is governed by the laws of the Commonwealth of Virginia, U.S.A. and you agree that these terms of use and any legal action or proceeding relating to this site shall be governed by the laws of the State of Virginia without reference to its choice of law rules. If you attempt to bring any legal proceedings against PAGES Editorial Services you specifically acknowledge that PAGES Editorial Services is free to choose the jurisdiction of our preference as to where such action against us may be held. As you have agreed by using this site to choose the laws of the State of Virginia to govern any such proceedings, we will probably choose to defend any such action in Virginia and we can make this decision entirely as it suits us, without regard to where you are located in the world, or from where in the world you visited this site.

You are responsible for complying with the laws of the jurisdiction from which you are accessing this site, and you agree that you will not access or use the information on this site in violation of such laws. Unless expressly stated otherwise herein, any information submitted by you through this site shall be deemed non-confidential and non-proprietary. You represent that you have the lawful right to submit such information and agree that you will not submit any information unless you are legally entitled to do so. Because of the open nature of the Internet, we recommend that you not submit information you consider confidential.
